    2. We will not be responsible for any other services unless expressly set out in these Terms or on the Parent App.
    3. If we provide you with access to any new or beta services, you acknowledge that because of the developmental nature of such services, you use them at your own risk and we have no obligation to maintain or provide error corrections. 1. You must sign up for a Parent      Account on the Parent App in order to access and use the Services.
    2. You create and hold the Account and manage your child's profile, settings and consents, and you exercise your child's data protection rights on their behalf through the Parent App or by contacting us. We may ask you to verify your relationship to the child when you create your Account and/or before we act on a request.
    3. While you have an Account with us, you agree to:
      1. keep your information up-to-date (and ensure it remains true, accurate and complete);
      2. keep usernames and passwords secure and confidential, and protect them from misuse or being stolen; and
      3. notify us if you become aware of, or have reason to suspect, any unauthorised access to your Account or any logins linked to your Account.
    4. If you close your Account, you will lose access to the Services. Deleting your Account removes your family's profiles, conversations and history immediately and cannot be undone.

Paid Services

    1. Access to the Parent App is included in your purchase of Jules, and also includes additional features as set out on our website when you purchase Jules.
    2. You may also choose to purchase Services from us, as set out on our Parent App or our website (Paid Services). Paid Services may include one-time purchases or recurring Services.
    3. Details of our Paid Services, including features, limitations, fees and billing cycles (for recurring Services) are set out on our Parent App or our website. For recurring Services, you will be billed on a regular basis, as set out on our Parent App, at the beginning of each billing cycle. All other Paid Services must be paid for at the time you order the Service.
    4. Some features depend on consents you give when you set up a child profile. Each is a separate choice, none is pre-selected, and you can change or withdraw any of them at any time in the Parent App. Withdrawing a consent may mean some features stop working, and we will tell you which.
    5. You may upgrade or downgrade any recurring Services at any time through your Account. Changes to your recurring Services will take effect as follows:
      1. Upgrades: Immediately, with pro-rata charges applied for the current billing cycle.
      2. Downgrades: At the beginning of the next billing cycle.

Cancellation: All recurring Services continue for the agreed subscription term (that you selected when purchasing the Service) (Subscription Term). At the end of each Subscription Term, provided you have paid all fees owing, your recurring Services will be automatically renewed for the same term. If you wish to cancel within 14 days of any automatic renewal (Renewal Cancellation Period), you may do so through your Account without penalty, and we will not require you to take any steps to cancel which are not reasonably necessary. Cancellation during the Renewal Cancellation Period will take effect immediately, and we will refund you any amounts paid for the unused portion of that renewal term. If you wish to cancel your recurring Services outside of the Renewal Cancellation Period, you may do so through your Account. Your cancellation will take effect at the end of your current Subscription Term, and the recurring Services will not be renewed (meaning you will need to continue paying all fees due up until your current Subscription Term ends). If you are on an annual Subscription Term, we will provide you with a renewal reminder at least 30 days prior to the Services renewing. Licence

    1. During the Term, we grant you a right to use our basic Services in accordance with these Terms. This right cannot be passed on or transferred to any other person.
    2. When you purchase our Paid Services, your access rights will vary based on the type of service. For one-time purchases, we grant you the right to access the purchased Service until the earlier of the specified duration of access, the termination of these Terms or your cancellation of the specific Service. For recurring services, we grant you a right to access the relevant Services only for the duration that you continue to pay for the Service, subject to these Terms. These rights cannot be passed on or transferred to any other person.
    3. If we decide to discontinue the Services (or any material part of them) permanently, we will give you as much notice as reasonably practicable, and no less than 90 days. We will refund you for any unused portion of the Paid Services that you have paid for on a pro-rata basis. We will     tell you how to export or delete your child's data before the Services end upon request. Where the Services are discontinued, Jules and the Parent App will continue to function for offline use in accordance with these Terms.
    4. You must not:
      1. access or use the Services in any way that is improper or breaches any laws, infringes any person's rights (for example, intellectual property rights and privacy rights), or gives rise to any civil or criminal liability;
      2. interfere with or interrupt the supply of the Services, or any other person’s access to or use of the Services;
      3. introduce any viruses or other malicious software code into the Services;
      4. use any unauthorised or modified version of the Services, including for the purpose of building similar or competitive software or for the purpose of obtaining unauthorised access to the Services;
      5. attempt to access any data or log into any server or account that you are not expressly authorised to access;
      6. use the Services in any way that involves service bureau use, outsourcing, renting, reselling, sublicensing, concurrent use of a single user login, or time-sharing;
      7. circumvent user authentication or security of any of our networks, accounts or hosts or those of any third party; or
      8. access or use the Services to transmit, publish or communicate material that is, defamatory, offensive, abusive, indecent, menacing, harassing or unwanted.

Availability, Disruption and Downtime

    1. While we strive to always make the Services available to you, we do not make any promises that these will be available 100% of the time. The Services may be disrupted during certain periods, including, for example, as a result of scheduled or emergency maintenance.
    2. The Services may interact with, or be reliant on, products or services provided by third parties, such as cloud hosting service providers. To the maximum extent permitted by law, we are not liable for disruptions or downtime caused or contributed to by these third parties.
    3. We will try to provide you with reasonable notice, where possible, of any disruptions to your access to the Services.
  1. Artificial Intelligence Features
    1. Jules and the Services include interactive artificial intelligence tools and features (AI Features). When your child takes part in a Jules Adventure or asks Jules a question, Jules’ replies are generated by artificial intelligence. Our offline stories (Jules Anywhere) are written and recorded in advance by people, and no AI is involved when your child listens to them. By activating the AI Features you consent to their use by your child, and you may switch off or adjust AI-specific settings at any time through the Parent App.
    2. Jules does not record or store your child's voice or create a voiceprint. Speech is converted to text and the audio is discarded immediately. We keep the written conversation so that you can read it in the Parent App and so that Jules can recall recent context. You may view and delete any conversation at any time. We do not use your child's conversations to train AI models. Our third-party providers may process conversations only on our instructions and are governed      by data processing agreements. Further details are in our Privacy Policy.
    3. Jules is designed to be open about the fact that it is a machine. It does not pretend to be a person, and it tells your child, in words appropriate for a young child, that it is a computer character and not a person, on first use and whenever your child asks.
    4. A separate safety system checks both what your child says and what Jules is about to say, before your child hears it. This cannot be switched off by you, your child or us. While we use multiple safety layers, age-appropriate settings and content filters, no AI system is perfect and we cannot guarantee that AI-generated content will always be accurate, appropriate or free from error.
  2. Supervision and Safeguarding
    1. Jules is a learning tool and is not a substitute for adult supervision. You should use it with an adult nearby, and you are responsible for deciding whether AI Features are suitable for your child, and you can manage these preferences through the Parent App.
    2. Jules and the Services are designed to support safe and positive experiences for children. It is not designed to handle emergency situations, safeguarding disclosures, or to provide medical, legal or mental health advice.
    3. If Jules says something wrong or upsetting, or you have any other concern, you can report it to us through the Parent App or by emailing support@jules-stories.com, telling us roughly when it happened. We will route concerns about a child's safety or about something Jules said to the people responsible for safety, and we will investigate what was said and why.
    4. If what a child says to Jules suggests they may be at risk of harm, depending on the circumstances, we may share relevant information with you, with local authority children's services, or with the police. We share only what is necessary, and our Privacy Policy explains this further.
    5. If you are concerned about a child's immediate safety, contact the emergency services. In the UK, you can also contact the NSPCC helpline on 0808 800 5000 or Childline on 0800 1111.
  3. Fees and Payment
    1. In consideration for us supplying the Products and providing the Services, you agree to pay all amounts due under these Terms in accordance with the Payment Terms.
    2. If any payment has not been made in accordance with the Payment Terms, we may (at our absolute discretion, and without prejudice to any of our rights or remedies under these Terms or at Law):
  1. after a period of 5 business days from the relevant due date, cease providing the Services, and recover, as a debt due and immediately payable from you, our reasonable additional costs of doing so (including all recovery costs); and/or
  2. charge interest at a rate equal to the Bank of England’s base rate, from time to time, plus 4% per annum, calculated daily and compounding monthly, on any such amounts unpaid after the relevant due date in accordance with the Payment Terms.
    1. All amounts payable by you under these Terms are exclusive of amounts in respect of any taxes, including sales, use or value added tax chargeable from time to time (VAT), unless otherwise stated. Where any taxable supply for VAT purposes is made under these Terms by us to you, you agree, on receipt of a valid VAT invoice from us, to pay to us such additional amounts in respect of VAT as are chargeable on the supply of the Services at the same time as payment is due for the supply of the Services.
  1. Consumer Cancellation Right and Change of Mind Returns
    1. This clause 7 applies to the extent that you purchase Jules and/or the Services from us as a “consumer”, as defined in the Consumer Rights Act 2015. You expressly agree to this information being provided in digital form, rather than on paper.

Returns of Products

    1. You have 14 days to change your mind and submit a return request for the Products. The 14 days starts after the day you receive (or someone you nominate receives) the Products (or the last delivery of the Products). We do not accept returns for change of mind if:
      1. you have damaged the Products or the Products are no longer in their original condition;
      2. the Products are sealed for health protection or hygiene purposes (such as headphones), and these have been unsealed or used by you after you receive them;
      3. the Products were made to your specifications or are clearly personalised; or
      4. the Products have become mixed inseparably with other items after their delivery.
    2. When your refund will be made: Provided that all return conditions have been met, we will make any refunds due to you as soon as possible, and in any event within 14 days from the day on which we receive the relevant Products back from you. The refund will be issued to the original payment method, unless otherwise agreed.
    3. We may reduce your refund of the Fees (excluding delivery costs) to reflect any reduction in the value of the products, if this has been caused by your mishandling. If we refund you the price paid before we are able to inspect the Products and later discover you have handled them in an unacceptable way, you must pay us an appropriate amount.
    4. Faulty or defective Products: You have legal rights in relation to Products that are faulty or not as described. These rights, provided under the Consumer Rights Act 2015, are not affected by the returns policy in these terms or any additional warranty we provide. Under the Consumer Rights Act, if your Product is faulty, you can request a repair or replacement. If these aren't possible or are unsuccessful, you may then be entitled to a full or partial refund. For detailed advice about your legal rights, please contact your local Citizens Advice Bureau or Trading Standards office.
    5. After the 14 day period has passed, we do not accept change of mind refunds for any Products.

Cancellation Right for Paid Services

    1. Subject to clause 7.8, you may cancel the Paid Services within 14 days of your acceptance of these Terms (Cancellation Period).
    2. Unless you expressly request us to commence the provision of the Paid Services during the Cancellation Period, we will not commence the provision of the Paid Services during the Cancellation Period. Where you expressly request us to commence the provision of the Paid Services during the Cancellation Period, you will lose your right to cancel the Paid Services if the relevant Paid Services are fully performed by us.
    3. If you exercise your right to cancel the Paid Services under this clause 7, you will be liable to pay to us an amount for the relevant Services supplied up to when you inform us that you intend to cancel the Services, which will be proportionate to the total Fees for the relevant Services for the relevant Subscription Term.
    4. If you want to cancel the Services, you should email us using the contact details at the start of these Terms, and you may use the Model Cancellation Form below:

Signature: ___________________________. Date: _________________.

    1. Subject to clause 7.9, where you have paid any amount upfront and have cancelled the Services in accordance with this clause 7, we will provide you with a refund of the amount paid to us within 14 days of you telling us that you have changed your mind.
  1. Intellectual Property
    1. circumvent or disable any content protection system or technical protection measure used in the Services or the Content;
    2. copy or modify, in whole or in part, any of the Content;
    3. reproduce, retransmit, distribute, disseminate, sell, publish broadcast or otherwise commercialise the Content to any third party; or
    4. breach, or allow any third party to breach, any intellectual property rights in the Content.
    1. We own all intellectual property rights in the Products and Services. This includes how the Products and Services look and function, as well as our copyrighted works, trademarks, inventions, designs and other intellectual property. You agree not to copy or otherwise misuse our intellectual property without our written permission (for example, to reverse engineer or discover the source code of our intellectual property), and you must not alter or remove any confidentiality, copyright or other ownership notice placed on the Services.
    2. We own or have licenses to all content displayed or accessed via Jules or on the Services (Content). You do not have any ownership rights in any Content delivered through Jules and/or the Services. Subject to your compliance with these Terms, we grant you a non-exclusive, revocable, non-sublicensable and non-transferable licence to view, listen to or access the Content, solely for your own, or the child user of Jules’ personal use.
    3. You must not, unless expressly authorised by us or these Terms:
    4. When you use the Services, we may create anonymised statistical data from your usage of the Services (for example, through aggregation). Once anonymised, we own that data and may use it for our own purposes, such as to provide and improve the Services, to develop new services or product offerings, to identify business trends, and for other uses we communicate to you. This may include making such anonymised data publicly available, provided it is not compiled using a sample size small enough to make your data or identity identifiable.
    5. We may use any feedback or suggestions that you give us in any manner which we see fit (for example, to develop new features), and no benefit will be owed to you as a result of any use by us of your feedback or suggestions.
    6. This clause 8 will survive termination or expiry of these Terms.
  2. Confidential Information and Personal Data
    1. While using the Services, you may share confidential information with us, and you may become aware of confidential information about us. You agree not to use our confidential information, and to take reasonable steps to protect our confidential information from being disclosed without our permission, and we agree to do the same for your confidential information.
    2. However, either you or we may share confidential information with legal or regulatory authorities if required by law to do so.
    3. We collect, hold and disclose and use any personal data you provide to us in accordance with our privacy policy, available at here, and applicable privacy laws.
    4. You must only give us personal data about your child or any other person if you have the right to do so.
    5. We may need to disclose personal data to third parties, such as our related companies or our service providers (for example, IT and administrative service providers and our professional advisors).
    6. We never sell your child's personal data. We never share a child's conversations, voice or profile with advertisers or marketing providers, we never use a child's data to target advertising, and we never build an advertising profile of a child. There is no advertising in Jules.
    7. We do not collect your child's location. Where the Parent App asks for location permission, that is only because your phone's operating system requires it to find and pair with Jules over Bluetooth.
    8. Optional settings in the Parent App that affect your child's privacy are off by default. Turning one on is always your active choice. Where you can see what your child does with Jules through the Parent App, we make your child aware, in an age-appropriate way, that a grown-up can see it.
    9. Where we are required by law to report on our activities, you acknowledge that from time to time we may request certain information from you in order to meet our requirements, and you agree to provide us with such information within the timeframes reasonably requested by us.
    10. This clause 9 will survive the termination or expiry of these Terms.
  3. Liability
    1. death or personal injury caused by negligence; and
    2. fraud or fraudulent misrepresentation.
    1. Nothing in these Terms limits any Liability which cannot legally be limited, including Liability for:
    2. Subject to clause 10.1 (liability which cannot legally be limited), but despite anything else to the contrary in these Terms, to the maximum extent permitted by Law:
  1. if you are not a ‘consumer’ as defined in the Consumer Rights Act 2015, neither Party will be liable for Consequential Loss;
  2. if you are a ‘consumer’ as defined in the Consumer Rights Act 2015, and you use the Products and/or Services for any commercial, business or re-sale purpose, we will have no Liability to you for any loss of profit, loss of business, loss of data, business interruption, or loss of business opportunity;
  3. a Party’s liability for any Liability under these Terms will be reduced proportionately to the extent the relevant Liability was caused or contributed to by the negligent or unlawful acts or omissions of, or breach of these Terms, by the other Party; and
  4. if either you or we are in breach of the arrangements under these Terms, neither of us will be responsible for any losses that the other suffers as a result, except those losses which are a foreseeable consequence of the breach.
    1. This clause 10 will survive the termination or expiry of these Terms.
  1. Termination

Suspension

    1. We may suspend your access to the Services where we reasonably believe there has been any unauthorised access to or use of the Services (such as the unauthorised sharing of login details for the Services). If we suspend your access to the Services, we will let you know within a reasonable time of doing so, and we will work with you to resolve the matter, or if it cannot be resolved, then we may terminate these Terms and your access to the Services will end.

Termination

    1. We may terminate these Terms (meaning you will lose access to the Services, and any recurring Services will be cancelled) if:
      1. you fail to pay your fees when they are due;

      4. you experience an insolvency event (including bankruptcy, receivership, administration, liquidation, or entering into creditors’ schemes of arrangement).
    2. You may terminate these Terms if:
      1. we breach these Terms and do not remedy that breach within 14 days of you notifying us of that breach; or
      2. we breach these Terms and that breach cannot be remedied, and if you have paid fees for recurring Services upfront, you will be issued a pro-rata refund of any unused part of those fees based on the portion of the then-current Services period remaining.
    3. You may also terminate these Terms at any time by notifying us through your Account or to our email for notices (as set out in clause 13.9), and if you have purchased any recurring services, termination will take effect at the end of your current Services period.
    4. Termination of these Terms will not affect any other rights or liabilities that we or you may have.
    5. This clause 11 will survive the termination or expiry of these Terms.
  1. Notice Regarding Apple
    1. To the extent that you are using or accessing the Parent App on an iOS device through a mobile application from the Apple App Store, you further acknowledge and agree to the terms of this clause. (Apple), and Apple is not responsible for the Parent App, Jules or Services and any content available on the Parent App.
    2. Apple has no obligation to furnish you with any maintenance and support services with respect to the Parent App.
    3. If our mobile application fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the mobile application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the mobile application and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our responsibility.
    4. Apple is not responsible for addressing any claims by you or any third party relating to our mobile application or your use of our mobile application, including but not limited to: (1) product liability claims; (2) any claim that our mobile application fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection or similar legislation.
    5. Apple is not responsible for the investigation, defence, settlement and discharge of any third-party claim that our mobile application infringes that third party’s intellectual property rights.
    6. You agree to comply with any applicable third-party terms when using our mobile application.
